Check how delay, error and compensation risks are allocated and whether limitations of liability are appropriate.

6. Confidentiality and Intellectual Property

Define confidential information, ownership of deliverables and permitted use after the agreement ends.

7. Notices

Specify formal notice channels and approved addresses.

8. Dispute Resolution

Confirm the competent courts or whether arbitration or another dispute-resolution mechanism applies.

9. Attachments and Document Priority

Ensure schedules are complete and establish which document prevails if there is inconsistency.
